This program focuses on issues such as choices of organizational form, mergers and acquisitions, spinoffs, private equity, takeover defenses, financial distress, executive compensation, institutional investors, boards of directors, corporate governance reform and shareholder activism, and will thus provide you with vital know-how in the wide-ranging fields of corporate finance and corporate governance.

Pre-requisites

Sound knowledge of corporate finance is a pre-requisite for the program, as the case studies in this program will use basic corporate finance techniques. The valuation program taught by Prof. Maug would also be very helpful.

Learning and Teaching Methods

The program consists mainly of interactive lectures, presented in an informal method that encourages active interaction and discussions between the professor and participants.
The inputs from the professor are supplemented by three case study assignments to be discussed in class. In addition to the casework, which is also done outside of class, a number of readings from academic journals will be assigned that should ideally be done in advance of the relevant lectures. The program includes a final examination.

Required Reading

Participants will be provided with program material before the start of the program. We strongly recommend reading the material and preparing for the program in order to gain maximum benefit from the program.

Prof. David Yermack, PhD

David Yermack is currently Professor of Finance at New York University Stern School of Business, US, and previously taught, amongst others, at Harvard University, Erasmus University Rotterdam, London Business School, University of St. Gallen, and University of Western Australia. His areas of expertise include corporate finance, executive compensation, executive stock options, boards of directors, corporate governance, and law and economics.

David Yermack has published papers in, amongst others, the Journal of Corporate Finance, Journal of Accounting and Economics, Journal of Financial Economics, Financial Management, Journal of Law, Journal of Finance, and Journal of Business. He is a member of the board of directors of the Financial Management Association, member of the editorial board of several academic journals in the area of finance, Visiting Scholar at the Federal Reserve Bank of New York, and member or fellow of numerous academic research organizations. Professor Yermack has been awarded two All-Star Paper awards from the Journal of Financial Economics.
